11. Indemnification

You agree to defend, indemnify, and hold harmless Insignia Group and its subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your Submissions caused damage to a third party

This indemnification obligation will survive the termination of these Terms and your use of the Site.

12. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or related to these Terms or the Site shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

You agree that any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the federal or state courts located in New York County, New York. 13. Dispute Resolution

13.1 Informal Resolution

Before filing a formal legal claim, you agree to first contact us to attempt to resolve the dispute informally. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or we may bring a formal proceeding.

13.2 Class Action Waiver

YOU AND INSIGNIA GROUP AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than through alternative dispute resolution, YOU AND INSIGNIA GROUP EACH WAIVE ANY RIGHT TO A JURY TRIAL.

14. Termination

We reserve the right to terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Site will immediately cease. If you wish to terminate your access to the Site, you may simply discontinue using the Site.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Severability and Waiver

15.1 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent, or if such modification is not possible, such provision shall be severed from these Terms. The validity, legality, and enforceability of the remaining provisions shall not be affected or impaired.

15.2 Waiver

No waiver by the Company of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Site, constitute the entire agreement between you and Insignia Group concerning your use of the Site and supersede all prior agreements and understandings, whether written or oral, regarding the subject matter.

17. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their respective successors and permitted assigns.

18. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
